Please read these Terms & Conditions carefully before using our websites, accessing free Content, purchasing an Offering, participating in coaching or mentorship, joining a Program or Community, attending a workshop or call, or using an AI Service made available by Resourced Woman™.

These Terms form a legally binding agreement. They contain important provisions concerning purchases, payment plans, subscriptions, final sales, offer-specific guarantees, intellectual property, artificial intelligence, coaching and independent decision-making, experiential practices, assumption of risk, disclaimers of warranties, limitations of liability, release, and indemnification.

Nothing in these Terms excludes, restricts, or waives any right, remedy, protection, warranty, duty, or liability that cannot lawfully be excluded, restricted, or waived.

Company Information

These Terms & Conditions, referred to as the “Terms,” are entered into between you and New Earth Era Inc., doing business as Resourced Woman™.

Throughout these Terms, “Resourced Woman,” “Company,” “we,” “us,” and “our” mean New Earth Era Inc., doing business as Resourced Woman™, together with its directors, officers, employees, coaches, mentors, facilitators, guest speakers, contractors, support personnel, representatives, and content contributors where the context permits.

“You,” “your,” “user,” “customer,” “purchaser,” and “participant” mean the individual or legal entity accessing our Sites or Offerings.

If you purchase or use an Offering on behalf of a company, organization, partnership, or other entity, you represent that you have authority to bind that entity to these Terms.

Scope of These Terms

These Terms govern your access to and use of Resourced Woman websites, subdomains, sales pages, landing pages, checkout pages, Kajabi portals, Communities, applications, digital platforms, social and interactive spaces, and other online properties that display, incorporate, or link to these Terms.

They also govern current and future Resourced Woman Offerings that link to these Terms, which may include:

  • business education;
  • business coaching and mentorship;
  • group coaching;
  • private coaching or strategy calls;
  • Programs;
  • workshops and masterclasses, including The Compounding CEO;
  • memberships;
  • Communities;
  • recorded courses;
  • audio and video programs;
  • digital resources;
  • templates, workbooks, PDFs, guides, prompts, and downloads;
  • live and recorded calls;
  • personal-development and experiential practices;
  • AI-enabled coaching, support, educational, or administrative tools;
  • events;
  • free resources; and
  • other education, mentorship, content, digital products, services, or experiences offered under the Resourced Woman brand.

These Terms apply to both free and paid Offerings where appropriate.

These Terms govern Resourced Woman only and do not automatically govern another brand owned or operated by New Earth Era Inc. unless that brand or Offering expressly incorporates these Terms.

Related Policies and Offer-Specific Agreements

These Terms incorporate by reference:

  • the Resourced Woman Comprehensive Disclaimer;
  • the Resourced Woman Privacy & Cookie Policy;
  • the sales page applicable to your purchase;
  • the checkout page or order form presented before purchase;
  • your invoice, purchase confirmation, or payment schedule;
  • any written guarantee terms presented for the specific Offering before purchase; and
  • any separate membership, event, affiliate, coaching, licensing, or other written agreement expressly accepted by you.

Together, these documents form the agreement governing the applicable Offering.

If documents conflict:

  1. mandatory applicable law controls;
  2. offer-specific written terms presented before purchase control for that Offering;
  3. your checkout confirmation or invoice controls the Offering purchased, price, currency, payment structure, purchase date, and other transaction-specific information;
  4. an expressly offered written guarantee controls the refund eligibility rules for that Offering; and
  5. these general Terms apply to matters not otherwise addressed.

The Comprehensive Disclaimer governs the detailed educational, professional-advice, mental-health, wellness, experiential, earnings, results, AI, reliance, and related disclaimers.

Acceptance of These Terms

You accept these Terms by, as applicable:

  • checking a box confirming agreement;
  • submitting an Order;
  • completing a purchase;
  • making a payment;
  • creating or using an Account;
  • accessing paid Content;
  • joining a Program, Community, membership, workshop, coaching call, or other Offering;
  • signing an offer-specific agreement; or
  • otherwise expressly accepting these Terms.

Your mere viewing of publicly available website Content is subject to the provisions of these Terms reasonably applicable to website use, intellectual property, prohibited conduct, disclaimers, and liability.

If you do not agree to these Terms, do not purchase or participate in an Offering.

You should retain a copy of these Terms, the applicable sales page or offer details, checkout disclosures, purchase confirmation, payment schedule, and any offer-specific guarantee.

Eligibility and Age

Paid Offerings, Accounts, Communities, coaching calls, AI Services, and experiential practices are intended for adults.

By purchasing or participating, you represent that:

  • you are at least eighteen years old;
  • you have reached the age of majority in your jurisdiction if it is higher than eighteen;
  • you have legal capacity to enter into a binding agreement;
  • information you provide is truthful, current, complete, and accurate; and
  • you are not prohibited by law from purchasing or participating.

We do not knowingly contract with minors for paid Offerings.

Definitions

“Account” means an account created through Kajabi or another platform used to access an Offering.

“AI Service” means any artificial-intelligence, machine-learning, chatbot, coaching assistant, transcription, summarization, recommendation, or automated tool made available by or through Resourced Woman.

“Community” means a Kajabi Community, membership space, private group, discussion area, chat, forum, application, or other interactive participant space operated by or for Resourced Woman.

“Content” means text, videos, audio, recordings, calls, presentations, lessons, downloads, graphics, templates, prompts, workbooks, transcripts, summaries, frameworks, exercises, methodologies, resources, AI knowledge materials, and other materials made available by or through Resourced Woman.

“Digital Product” means a course, recording, audio, video, download, PDF, guide, workbook, template, prompt collection, or other electronically delivered product.

“Offering” means any free or paid Content, Digital Product, Program, workshop, coaching engagement, private call, Subscription, membership, Community, event, AI Service, or other product or service offered by Resourced Woman.

“Order” means a request to purchase an Offering.

“Payment Plan” means a fixed total purchase price divided into multiple installments.

“Program” means a structured educational, coaching, mentorship, or personal-development Offering that may include recorded Content, live calls, support, assignments, Community access, resources, or other features.

“Site” means a website, subdomain, landing page, sales page, checkout page, portal, application, or other digital property operated by or for Resourced Woman that links to these Terms.

“Subscription” means an Offering supplied on a continuing recurring basis until cancelled under its stated terms.

“User Content” means content you submit, upload, post, record, send, share, or otherwise provide through a Site, Program, Community, call, AI Service, application, form, email, message, or other Company communication channel.

Website Access and Information

We may modify, update, reorganize, suspend, restrict, or remove Site Content; correct errors; change website functionality; conduct maintenance; move Content to another platform; or discontinue a Site.

We do not guarantee that every page, link, caption, transcript, schedule, statistic, example, statement, or resource will always be complete, current, accurate, or available.

Material information should be independently verified before you rely on it for an important business, financial, legal, health, personal, or other decision.

Offer Descriptions and Pre-Purchase Information

Before completing a purchase, you should review the applicable sales page, checkout page, order form, and purchase disclosures.

Depending on the Offering, those materials may identify:

  • the name and description of the Offering;
  • the material components included;
  • exclusions or limitations;
  • delivery method;
  • start date or supply date;
  • access period;
  • live service or coaching period;
  • technical requirements;
  • price;
  • currency;
  • applicable taxes or known additional charges;
  • payment schedule;
  • installment amount;
  • total payment obligation;
  • promotional terms;
  • eligibility requirements;
  • Payment Plan terms;
  • Subscription or renewal terms;
  • cancellation terms;
  • refund policy;
  • any offer-specific guarantee;
  • material restrictions;
  • Community or support access; and
  • other terms material to the purchase.

Where required by applicable law, we will provide required information before you enter the contract and an opportunity to review the applicable contract terms before completing the transaction.

The applicable sales page and checkout disclosures form part of your purchase agreement.

Do not complete a purchase if you do not understand the Offering, total price, currency, payment structure, refund policy, access period, or other material purchase terms.

Orders and Contract Formation

Submitting an Order constitutes an offer to purchase.

We accept an Order when we confirm the transaction, provide access to the Offering, receive or approve payment, issue an invoice confirming acceptance, or otherwise expressly confirm the purchase.

We may decline or cancel an Order where reasonably necessary because:

  • a displayed price or material term was an obvious error;
  • the Offering is unavailable;
  • payment is unauthorized, fraudulent, or unsuccessful;
  • required information is missing or inaccurate;
  • eligibility requirements were not satisfied;
  • capacity has been reached;
  • there is a material security or fraud concern; or
  • completing the transaction would violate applicable law, sanctions, payment-provider rules, or platform requirements.

If we cancel an accepted Order before delivering the purchased Offering, we will provide any refund or remedy required by applicable law.

Where applicable law requires a copy of the contract or transaction record, we will provide it electronically using the purchaser's provided contact information.

Nature of Offerings

Resourced Woman primarily provides education, coaching, mentorship, digital Content, Communities, online experiences, and related services.

A purchase includes only the components expressly described for that Offering.

Unless expressly stated otherwise, a purchase does not include:

  • unlimited private access to Jenna or another coach;
  • done-for-you business services;
  • legal review;
  • financial planning;
  • accounting;
  • tax advice;
  • therapy or mental-health treatment;
  • emergency support;
  • implementation of recommendations on your behalf;
  • permanent Community access;
  • future products or Programs;
  • future editions or updates;
  • unlimited AI access; or
  • any other feature not stated in the applicable offer.

Physical products or materials are included only when expressly stated in writing.

Prices, Currency, Taxes, and Third-Party Fees

Unless expressly stated otherwise, all Resourced Woman prices are stated and payable in United States dollars (USD).

Applicable taxes may be added where required.

Prices may change for future purchases without notice. A future price change does not retroactively alter an accepted Order.

Promotional pricing applies only during the stated eligibility period and subject to the disclosed promotional conditions.

Your bank, card issuer, payment provider, financing provider, crypto service, or other third party may impose:

  • currency-conversion charges;
  • foreign-transaction fees;
  • financing charges;
  • bank-transfer fees;
  • network fees;
  • blockchain fees; or
  • other third-party charges.

Unless expressly disclosed as being charged by us, those charges are controlled by the applicable third party and do not reduce the amount owed to Resourced Woman.

Payment Methods

Depending on the Offering, we may accept payments through Kajabi, Kajabi Payments, ThriveCart, Stripe or another card processor, PayPal, bank transfer, an approved crypto payment method, third-party financing, or another method shown at checkout or approved by us.

Available payment methods may differ by Offering, location, transaction amount, or purchaser.

Third-party payment providers operate under their own terms and privacy practices.

Payment Plans

13.1 Fixed Purchase Obligation

Unless the applicable offer expressly identifies itself as a cancel-anytime Subscription, a multi-payment option is a Payment Plan for one fixed purchase.

The total purchase price, number of installments, installment amount, frequency, and payment schedule will be disclosed before purchase or in the applicable purchase documentation.

A Payment Plan is not a monthly membership and is not cancelled merely because you:

  • stop participating;
  • stop accessing the Content;
  • fail to complete the Program;
  • change your mind;
  • miss calls;
  • experience a scheduling conflict;
  • do not achieve a desired result;
  • leave a Community;
  • are removed for conduct violating these Terms;
  • experience personal or business changes;
  • cancel the card used for payment;
  • ask your financial institution to block future payments; or
  • ask us to stop processing the remaining installments.

Subject to any applicable statutory cancellation right or approved offer-specific guarantee, you remain responsible for the full purchase price.

13.2 Payment Authorization

By selecting a Payment Plan, you authorize Resourced Woman and its payment providers to charge the payment method provided for:

  • the initial installment;
  • each scheduled installment;
  • applicable taxes; and
  • reasonable retries of failed scheduled payments.

You are responsible for keeping payment information current.

13.3 Failed Payments

A failed payment may be retried according to the payment provider's standard retry procedures.

We may contact you for updated payment information.

If an installment remains unpaid and no written payment arrangement has been approved, we may suspend access to the applicable Offering, including Content, live calls, Community access, support, AI Services, or other included benefits.

Suspension for non-payment does not automatically pause or extend the Offering's stated access, coaching, Community, support, or Program period.

13.4 Payment Accommodations

We may, but are not obligated to, approve a temporary payment accommodation, revised payment date, hardship arrangement, or deferral.

An accommodation is valid only when confirmed by us in writing.

A temporary accommodation does not permanently waive the remaining payment obligation unless our written agreement expressly states otherwise.

13.5 Collection

We may use lawful methods to recover amounts that remain properly due.

Collection costs, returned-payment charges, or legal costs will be sought only where legally permitted and recoverable.

Access Periods and “Lifetime Access”

The access period for an Offering is the period stated on its sales page, checkout page, purchase confirmation, or other applicable offer terms.

Different Offerings may have different access periods.

Where an Offering expressly promises Lifetime Access, “Lifetime Access” means continued access to the purchased version of the applicable Digital Product while we continue to offer or host that product, or a substantially equivalent version, through Kajabi or another reasonable delivery platform.

It refers to the operational life of the product, not the biological lifetime of the purchaser.

Lifetime Access does not automatically include:

  • perpetual live coaching;
  • perpetual support;
  • perpetual Community access;
  • future versions;
  • future Programs;
  • future bonuses;
  • future AI Services; or
  • permanent use of a specific third-party platform.

We may migrate Content to another platform or provide a substantially equivalent replacement where reasonably necessary.

All access remains subject to these Terms, payment status, Account security, intellectual-property restrictions, lawful use, platform availability, and offer-specific conditions.

Program Changes and Delivery

We may make reasonable changes to an Offering, including:

  • correcting errors;
  • updating Content;
  • reorganizing lessons or modules;
  • changing a delivery platform;
  • changing administrative procedures;
  • replacing or adding a coach, facilitator, or guest;
  • rescheduling or combining live sessions;
  • replacing a live session with a recording or reasonably equivalent session where appropriate;
  • updating technical requirements; or
  • retiring outdated resources.

We will not use this provision to retroactively increase your fixed total purchase price or materially remove the central substance of a purchased Offering without providing a remedy required by applicable law.

A particular guest, platform, date, feature, call sequence, or delivery interface is not guaranteed unless it was expressly identified as an essential purchase term.

Coaching, Mentorship, and Independent Decision-Making

Resourced Woman provides education, coaching, mentorship, strategy, perspective, frameworks, feedback, reflection, accountability, and related support.

Coaching may involve suggestions, observations, challenges, questions, strategies, recommendations, perspectives, or examples.

A coach's recommendation is not a command.

You retain complete decision-making authority over your business, finances, career, relationships, health, wellbeing, participation, and life.

You are responsible for evaluating whether information or a recommendation is appropriate for your individual circumstances and for obtaining specialist professional advice where needed.

No statement, recommendation, suggestion, instruction, opinion, or feedback provided by Jenna, another coach, facilitator, guest, team member, contractor, Community participant, or AI Service transfers decision-making authority or responsibility from you to Resourced Woman.

You remain responsible for whether, when, and how you implement information received through an Offering.

We do not take control of your business or personal affairs merely because advice or recommendations are provided.

Private Coaching and Strategy Calls

Where an Offering includes or separately sells private coaching or strategy calls, the booking window, call length, availability, expiration date, rescheduling rules, and other terms are those stated in the applicable offer.

If no specific rescheduling policy is stated, reasonable advance notice should be provided for requested changes.

Missed calls, late cancellations, or unused calls may be forfeited where stated in the applicable offer and where permitted by law.

Arriving late does not extend the scheduled end time.

A private coaching call does not create a therapist-client, doctor-patient, lawyer-client, accountant-client, financial-adviser-client, fiduciary, or other regulated professional relationship.

Private calls may be recorded, transcribed, summarized, or processed using AI or other service providers as described in these Terms and the Privacy & Cookie Policy.

Live Events, Workshops, and Masterclasses

An online workshop, event, masterclass, intensive, training, or live call, including The Compounding CEO, may have its own:

  • date and time;
  • duration;
  • attendance terms;
  • recording policy;
  • replay period;
  • participation requirements;
  • access period;
  • technical requirements;
  • refund policy;
  • guarantee, if any; and
  • other offer-specific conditions.

You are responsible for converting scheduled times to your local time zone and maintaining technology reasonably required to participate.

Failure to attend does not create a refund right unless the applicable offer or law expressly provides otherwise.

Where reasonably necessary because of illness, emergency, technology failure, force majeure, or similar circumstances, we may reschedule a session, provide a recording, use a substitute facilitator, or provide a reasonably equivalent method of delivery.

19

Subscriptions and Recurring Memberships

19.1 Clear Identification

An Offering is a Subscription only when the sales page, checkout, or other applicable purchase disclosure identifies it as renewing or billing on a recurring basis.

A fixed Payment Plan is not a Subscription.

19.2 Billing Authorization

By purchasing a Subscription, you authorize recurring charges at the amount and interval disclosed before purchase until properly cancelled, subject to applicable law.

Subscription disclosures may include:

  • recurring price;
  • billing frequency;
  • trial or promotional period;
  • renewal period;
  • renewal method;
  • cancellation method;
  • access after cancellation;
  • minimum commitment, if any; and
  • changes that occur after a promotional period.

19.3 Cancellation and Renewal Rights

You may cancel a Subscription through the cancellation method stated in the applicable offer, through your Account where that functionality is available, or by contacting [email protected].

Cancellation stops future renewal charges after the cancellation becomes legally effective.

Cancellation does not automatically create a retroactive refund for services or access already supplied, except where required by applicable law.

We will provide any advance renewal notice, cancellation rights, refund rights, confirmation requirements, processing timelines, or other protections required by applicable law.

Blocking a merchant, cancelling a card, or changing payment information does not by itself constitute proper cancellation of a Subscription.

19.4 Subscription Changes

We may change future Subscription prices, features, or terms by providing any notice and cancellation opportunity required by applicable law.

We will not use a unilateral-change clause to remove a non-waivable cancellation, refund, or consumer right.

Crypto-Asset Payments

Crypto payment may be accepted for certain purchases only when expressly offered or approved.

Unless otherwise stated, Resourced Woman Offerings remain priced in USD. A crypto payment is an alternate method of satisfying the stated USD purchase price.

You are responsible for:

  • using the correct wallet address;
  • selecting the correct network;
  • paying sufficient network fees;
  • confirming transaction details;
  • maintaining wallet security;
  • complying with applicable tax and legal obligations; and
  • ensuring that the transaction is lawful.

Crypto transactions may be irreversible.

Changes in the market value of a crypto asset after payment do not change the agreed USD purchase price.

If a refund is legally required or expressly approved, the refund will ordinarily be calculated by reference to the eligible USD purchase amount, rather than the later market value of the crypto originally transferred, subject to applicable law and payment-provider restrictions.

We may request information reasonably necessary for fraud, sanctions, tax, identity, source-of-funds, security, or legal-compliance purposes.

21

Final-Sale and Refund Policy

21.1 General Policy

Unless a specific Offering expressly includes a written refund or money-back guarantee presented before purchase, all sales are final and non-refundable, except where:

  1. applicable law requires a cancellation, refund, reversal, or other remedy;
  2. we verify a duplicate charge for the same transaction;
  3. we confirm a clear billing error; or
  4. we are unable to deliver the purchased Offering at all and cannot provide a reasonable replacement or other legally sufficient remedy.

These exceptions do not create a satisfaction guarantee or trial period.

21.2 No Refund Based on Personal Circumstances

Except where applicable law or an expressly offered guarantee provides otherwise, refunds, credits, cancellations, transfers, or releases from a fixed Payment Plan are not provided because of:

  • change of mind;
  • failure to review the sales page or purchase terms;
  • failure to use the Offering;
  • failure to attend a live call, workshop, or Program;
  • failure to complete Content or assignments;
  • scheduling conflicts;
  • travel;
  • illness;
  • personal hardship;
  • family changes;
  • relationship changes;
  • employment changes;
  • financial changes;
  • business changes;
  • disagreement with the Content, coaching, facilitator, or strategy;
  • incompatibility with personal beliefs;
  • technical problems originating with your own device or internet connection;
  • failure to achieve a desired business or personal result;
  • removal or suspension arising from your material breach or misconduct;
  • a later sale or lower price; or
  • expiration or withdrawal of a promotion or bonus.

Nothing in this section limits a refund, cancellation, or other remedy that applicable law does not permit the parties to waive.

21.3 Digital Delivery

Digital access may begin immediately after purchase.

Where applicable law requires express consent before immediate digital delivery affects a statutory cancellation or withdrawal right, we will obtain that consent or acknowledgment as required.

Offer-Specific Guarantees

22.1 No General Money-Back Guarantee

Resourced Woman does not offer a portfolio-wide money-back guarantee.

A money-back, results-based, implementation, satisfaction, or other refund guarantee exists only when the specific Offering expressly states the guarantee on its applicable sales page, checkout, order form, or other offer-specific terms presented before purchase.

A guarantee offered for one Offering does not apply to another Offering.

22.2 Guarantee Requirements

Where a guarantee is expressly offered, eligibility is governed by the requirements disclosed for that guarantee before purchase.

Those requirements may include, where stated:

  • completing specified lessons or modules;
  • attending specified calls;
  • implementing specified strategies;
  • completing specified actions;
  • submitting assignments or documentation;
  • tracking specified information or metrics;
  • communicating through a specified channel;
  • remaining current on payments;
  • allowing a stated implementation period;
  • providing reasonable evidence of completion;
  • submitting the refund request through the required method; and
  • submitting the request within the stated guarantee window.

You must complete and submit all requirements expressly stated for the guarantee to qualify for a guarantee-based refund.

Failure to satisfy the stated eligibility requirements means the guarantee does not apply, subject to any separate statutory right that cannot lawfully be waived.

22.3 No Hidden Guarantee Conditions

We will not create a new material guarantee requirement after your purchase and then rely on it to deny a refund otherwise earned under the written guarantee presented to you before purchase.

We may request reasonable evidence necessary to verify compliance with the criteria that were disclosed.

22.4 Guarantee Requests

A guarantee request must be submitted using the procedure and within the timeframe stated in the applicable guarantee.

Unless another method is expressly stated, requests may be sent to [email protected].

22.5 Effect of Approved Refund

If an offer-specific refund is approved, we may terminate access to the refunded Offering and its associated:

  • Program portal;
  • Community;
  • live services;
  • coaching;
  • Content;
  • recordings;
  • bonuses;
  • downloads;
  • licences;
  • AI Services; and
  • other benefits associated with the refunded purchase.

Your licence to use the refunded Content ends upon refund.

Where reasonably possible, you must delete or cease using downloaded proprietary Content connected with the refunded purchase.

An approved full refund also ends remaining installments specifically covered by that approved refund unless applicable law or the guarantee terms provide otherwise.

Billing Concerns, Chargebacks, and Payment Disputes

23.1 Contact Us

Where practicable, please contact us promptly at [email protected] regarding a billing, delivery, access, or payment concern and allow a reasonable opportunity to investigate.

This does not limit any non-waivable consumer, bank, cardholder, or statutory right.

23.2 Suspension During a Dispute

If a chargeback, PayPal dispute, bank reversal, financing dispute, or other payment dispute is initiated, we may temporarily suspend access to benefits associated with the disputed transaction while the matter is investigated.

23.3 Evidence

You authorize us to provide reasonably relevant evidence to a bank, card issuer, card network, payment processor, PayPal, financing provider, legal adviser, regulator, collection provider, insurer, or dispute administrator.

Evidence may include:

  • sales-page disclosures;
  • checkout disclosures;
  • receipts and invoices;
  • payment authorization;
  • Account information;
  • login records;
  • portal access;
  • Content access;
  • downloads;
  • call attendance;
  • Community activity;
  • submitted assignments or documentation;
  • guarantee submissions;
  • emails;
  • support communications;
  • recordings;
  • transcripts; and
  • other evidence reasonably relevant to delivery or use.

Information will be disclosed subject to applicable privacy law.

23.4 False or Misleading Disputes

Knowingly initiating a false, fraudulent, or materially misleading payment dispute constitutes a material breach of these Terms.

A payment dispute does not automatically extinguish an amount otherwise lawfully owed unless the dispute is resolved in your favour, applicable law provides otherwise, or a competent authority determines otherwise.

Accounts and Security

You must:

  • provide accurate registration information;
  • maintain current contact information;
  • keep your Account password confidential;
  • not share paid Account access;
  • not permit unauthorized users to access paid Content;
  • notify us reasonably promptly of suspected unauthorized access; and
  • use reasonable security precautions.

We may request reasonable identity verification or temporarily restrict an Account while investigating fraud, Account sharing, impersonation, security concerns, or unauthorized access.

Communities and Participant Conduct

Resourced Woman Communities, coaching calls, group programs, workshops, chats, and interactive spaces are intended to support constructive participation.

You must not:

  • harass, threaten, stalk, intimidate, abuse, or unlawfully discriminate against another person;
  • deliberately disrupt a Program, Community, or call;
  • diagnose another participant;
  • present yourself as having professional authority over another participant where you do not;
  • pressure another participant to accept a psychological, spiritual, personal, or business interpretation;
  • publish another participant's private information;
  • screenshot or record another participant without authorization;
  • share private Community material outside the Community;
  • harvest member information;
  • add members to email or marketing lists without consent;
  • send unauthorized solicitations;
  • use the Community primarily to promote an unrelated business;
  • upload malware;
  • attempt unauthorized access;
  • impersonate another person;
  • share paid login credentials or Content;
  • make dangerous or unlawful recommendations; or
  • violate another person's contractual, privacy, confidentiality, or intellectual-property rights.

We may reasonably moderate, move, restrict, or remove Content.

We may warn, mute, suspend, or remove a participant where reasonably necessary to protect safety, privacy, participants, learning, platform stability, legal compliance, intellectual property, or Community integrity.

We cannot guarantee that every participant will comply with these Terms. Share personal and business information in group settings thoughtfully.

Group Confidentiality and Business-Sensitive Information

Participants may voluntarily discuss private or commercially sensitive information during Programs, Communities, coaching calls, workshops, or other group experiences.

This may include:

  • revenue;
  • expenses;
  • pricing;
  • launches;
  • funnels;
  • advertising;
  • conversion data;
  • client information;
  • customer information;
  • sales processes;
  • intellectual property;
  • proprietary methods;
  • business plans;
  • personnel matters;
  • hiring or termination decisions;
  • team issues;
  • partnerships;
  • financial circumstances;
  • personal experiences; or
  • other non-public information.

You agree not to record, reproduce, disclose, publish, exploit, commercially use, or distribute another participant's private or confidential information without appropriate permission.

You may not use participation to harvest another participant's ideas, client list, contacts, confidential information, or intellectual property for unauthorized commercial use.

Resourced Woman cannot guarantee that another participant will honour a confidentiality obligation. You remain responsible for deciding what you disclose in a group environment.

User Content

27.1 Ownership

You retain ownership of original User Content you create, subject to applicable third-party rights and the operational licence granted below.

27.2 Operational Licence

You grant Resourced Woman a non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, format, display within the intended Offering, moderate, review, annotate, transcribe, summarize, process using approved service providers and AI tools, and otherwise use User Content as reasonably necessary to:

  • deliver the Offering;
  • administer Programs;
  • provide coaching or support;
  • maintain business records;
  • operate Communities;
  • provide transcripts or summaries;
  • maintain safety and security;
  • investigate disputes;
  • comply with law; and
  • improve our Offerings and operations.

27.3 Your Responsibilities

You represent that:

  • you own or have permission to provide your User Content;
  • it does not unlawfully violate another person's rights;
  • you have authority to disclose included third-party information;
  • you have appropriate permission for any client, employee, partner, customer, photograph, recording, or other identifiable third-party material you submit; and
  • it does not contain unlawful, infringing, malicious, or knowingly deceptive material.

Do not unnecessarily submit confidential client information, passwords, payment credentials, medical records, government identifiers, trade secrets belonging to others, or sensitive information you do not need to provide.

27.4 De-Identified Learning and Improvement

We may use properly de-identified or aggregated themes, questions, patterns, and learnings to improve education, coaching processes, administrative systems, AI knowledge materials, and internal operations.

We will not present identifiable private User Content as a public testimonial or formal public case study without appropriate permission.

Testimonials, Client Experiences, and Public Content

Testimonials, case studies, client experiences, examples, and participant stories describe individual circumstances.

They do not guarantee that another person will achieve the same or similar result.

Where appropriate or required, we will disclose material relationships such as gifted access, compensation, or affiliate relationships.

28.1 Private Material

We ordinarily seek appropriate permission before using identifiable material from:

  • private coaching;
  • a private Community;
  • direct messages;
  • emails;
  • private voice notes;
  • private calls;
  • private submissions; or
  • other non-public communications

as public marketing, advertising, testimonials, or case studies.

Permission to share a testimonial does not automatically include permission to disclose every identifying detail.

28.2 Deliberately Public Social Content

If you deliberately publish Content publicly and tag, mention, celebrate, review, or address Resourced Woman or Jenna in a manner that reasonably invites ordinary social engagement, we may use normal platform functionality to respond to, reference, repost, or reshare that public Content.

Separate permission will ordinarily be obtained before converting that public Content into materially different commercial use such as a paid advertisement, formal case study, permanent sales-page testimonial, or materially altered promotional asset.

Intellectual Property

29.1 Ownership

All Sites, Content, Program materials, curricula, coaching frameworks, methodologies, workshop structures, exercises, recordings, transcripts, summaries, prompts, templates, graphics, names, marks, logos, designs, AI knowledge materials, and proprietary resources are owned by or licensed to New Earth Era Inc. unless expressly stated otherwise.

This includes the Resourced Woman™ brand and Resourced Woman proprietary Program and Offering names, frameworks, methods, and Content.

Purchasing or accessing an Offering does not transfer ownership.

29.2 Limited Licence

Subject to payment and compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to use the applicable Content for your own personal or internal business use as expressly contemplated by the Offering.

29.3 Prohibited Uses

Without prior written permission, you may not:

  • reproduce or distribute paid Content;
  • sell or sublicense Content;
  • share Account access;
  • publicly upload recordings or Program files;
  • record live calls without permission;
  • publish transcripts;
  • redistribute templates or workbooks;
  • copy a Program for delivery to others;
  • create a substantially derivative course, workshop, coaching program, membership, certification, resource library, or competing educational product from our protected Content;
  • remove proprietary notices;
  • systematically scrape or download a Site;
  • frame or mirror paid Content;
  • use Resourced Woman trademarks in a domain, business name, course, product, membership, ad, or social handle without permission;
  • imply endorsement, partnership, employment, or authorization that does not exist; or
  • otherwise use Content beyond the licence granted.

You may implement concepts you learn in your own business. Intellectual-property protection does not prevent you from applying general business knowledge, skills, ideas, or principles that are not themselves protected proprietary expression.

29.4 AI and Dataset Restrictions

You may not upload or supply substantial proprietary Resourced Woman Program materials, recordings, transcripts, curricula, or protected resources to:

  • a public AI model;
  • custom chatbot;
  • model-training dataset;
  • retrieval database;
  • vector database;
  • public knowledge repository;
  • course-generation system;
  • competing assistant; or
  • another system intended to reproduce, summarize, imitate, train on, or commercially compete with our proprietary Content

without written permission.

You may not use our proprietary Content to train, fine-tune, reverse engineer, benchmark, or develop a competing AI system, course, coaching framework, or educational database.

Limited use within an AI Service expressly supplied or authorized by Resourced Woman is permitted according to that tool’s intended purpose.

Artificial Intelligence

30.1 AI Services

Resourced Woman may provide or use AI systems for purposes including:

  • coaching support;
  • educational tools;
  • personalized prompts;
  • brainstorming;
  • content support;
  • transcription;
  • summaries;
  • note-taking;
  • administration;
  • customer support;
  • research organization;
  • recommendations; and
  • internal business operations.

Depending on the Offering and current technology, these systems may involve providers such as OpenAI or ChatGPT, Anthropic or Claude, Kajabi AI, or other providers.

30.2 AI Is Not a Human Professional

An AI Service is not Jenna, a human coach, therapist, psychologist, psychiatrist, doctor, lawyer, accountant, financial adviser, investment adviser, emergency responder, or other licensed professional.

30.3 AI Output Limitations

AI output may be:

  • inaccurate;
  • incomplete;
  • outdated;
  • fabricated;
  • inconsistent;
  • biased;
  • overconfident;
  • repetitive;
  • contextually inappropriate;
  • legally unsuitable;
  • financially unsuitable;
  • emotionally unsuitable; or
  • similar to output provided to another user.

You are responsible for reviewing and verifying AI output before using it.

Do not rely on an AI Service as the sole basis for a high-impact medical, mental-health, safety, legal, financial, tax, employment, investment, crisis, or similarly consequential decision.

30.4 Third-Party AI Platforms

AI Services may rely on third-party systems we do not own or fully control.

We do not guarantee:

  • continuous availability;
  • a particular model;
  • a particular feature;
  • response speed;
  • accuracy;
  • retention practices;
  • model behaviour; or
  • continued operation by a third-party provider.

We may modify, replace, restrict, or discontinue an AI Service.

30.5 Information Submitted to AI

Do not submit information you do not have authority to disclose.

In particular, avoid unnecessary submission of:

  • passwords;
  • payment credentials;
  • government identifiers;
  • medical records;
  • confidential client information;
  • third-party trade secrets; or
  • highly sensitive information unnecessary for the interaction.

Educational Nature of Resourced Woman

Resourced Woman provides business education, coaching, mentorship, information, personal-development resources, perspectives, frameworks, examples, exercises, and experiential learning.

Content may draw on:

  • business experience;
  • entrepreneurship;
  • personal experience;
  • client experiences;
  • independent research;
  • business frameworks;
  • observations;
  • strategy;
  • leadership;
  • marketing;
  • sales;
  • personal development;
  • mindset;
  • reflective practices;
  • spiritual or intuitive perspectives where applicable; and
  • other educational sources.

Information is not automatically complete, universally applicable, professionally regulated, or appropriate for every business or person.

Unless expressly established through a separate written agreement and legally permitted, Resourced Woman does not provide:

  • medical diagnosis or treatment;
  • psychotherapy;
  • psychology services;
  • psychiatric care;
  • counselling;
  • trauma treatment;
  • crisis intervention;
  • legal advice or legal representation;
  • tax advice;
  • accounting services;
  • investment advice;
  • securities advice;
  • financial planning;
  • lending or credit advice;
  • insurance advice; or
  • another regulated professional service.

Participation does not create a:

  • doctor-patient;
  • therapist-client;
  • psychologist-client;
  • psychiatrist-patient;
  • counsellor-client;
  • lawyer-client;
  • accountant-client;
  • investment-adviser-client; or
  • other regulated professional relationship.

If your circumstances require individualized professional advice, you are responsible for retaining an appropriately qualified and licensed professional.

The fact that a coach, guest, or contributor separately holds a professional credential does not mean that person is acting in that professional capacity through a Resourced Woman Offering unless expressly stated in a separate written agreement.

No Fiduciary, Agency, or Delegation of Decision-Making

No purchase, coaching relationship, mentorship relationship, Program, Community, recommendation, or conversation creates a fiduciary, trustee, agency, management, employment, partnership, or similar relationship.

Resourced Woman does not become the manager, director, operator, employee, officer, financial decision-maker, legal representative, healthcare provider, or agent of your business or personal affairs.

No statement by a coach transfers decision-making authority or responsibility from you to Resourced Woman.

Even where a recommendation is expressed strongly, you remain responsible for independently evaluating it.

Mental Health and Emotional Wellbeing

Resourced Woman is not a mental-health treatment provider.

Programs may discuss topics such as:

  • confidence;
  • identity;
  • beliefs;
  • fear;
  • leadership;
  • boundaries;
  • stress;
  • relationships;
  • money;
  • personal experiences;
  • emotional experiences;
  • mindset;
  • nervous-system concepts;
  • personal development;
  • difficult decisions;
  • business challenges; and
  • other subjects that may feel personally or emotionally significant.

Discussing these topics does not turn business coaching or personal-development education into psychotherapy, counselling, psychiatric care, psychology services, diagnosis, trauma treatment, or crisis intervention.

Coaching conversations may sometimes feel challenging, uncomfortable, confronting, or emotionally activating.

We do not diagnose your psychological condition or assess or certify your psychiatric or psychological fitness to participate.

You remain responsible for assessing whether participation is appropriate for you and for obtaining qualified mental-health or healthcare support where needed.

An Offering may include or discuss voluntary practices such as:

  • mindfulness;

  • breathwork;

  • sensory awareness;
  • journaling;
  • reflective exercises;
  • mindset exercises;
  • identity exercises;
  • belief exploration;
  • emotional reflection;
  • spiritual practices;
  • intuitive practices; or
  • other personal-development or experiential exercises.

People may respond differently to these activities.

Possible responses may include:

  • emotional activation;
  • discomfort;
  • unexpected memories;
  • anxiety;
  • crying;
  • overwhelm;
  • physical sensations;
  • dizziness;
  • fatigue;
  • intrusive thoughts;
  • disorientation; or
  • other unexpected physical or psychological experiences.

Participation is voluntary and self-directed.

You may decline to participate, keep your eyes open, modify an exercise, pause, or stop at any time.

You are responsible for determining whether an activity is appropriate for your health and circumstances.

Crisis, Emergency, and Participation Safety

Resourced Woman is not an emergency or crisis service.

We do not undertake a duty to continuously monitor:

  • Community posts;
  • Kajabi activity;
  • emails;
  • forms;
  • private messages;
  • coaching submissions;
  • voice notes;
  • AI conversations;
  • workshop participation; or
  • other communications

for signs of psychological crisis, self-harm, harm to another person, medical emergency, or other urgent danger.

If you experience severe distress, significant disorientation, destabilization, an inability to distinguish an exercise from ordinary reality, thoughts of harming yourself or another person, or another urgent mental or physical health concern, stop participating and obtain appropriate professional or emergency assistance.

Where legally permitted or required and where we reasonably believe a serious safety concern exists, we may take reasonable safety-related steps, which may include pausing or ending participation, restricting access, contacting emergency services or another appropriate person, or disclosing relevant information as permitted or required by law.

Taking such a step does not mean that Resourced Woman has assumed a professional duty to diagnose, treat, supervise, or continuously monitor a participant.

Safe Environment for Experiential Practices

Do not participate in an eyes-closed, meditative, visualization, breath-focused, deeply inward, or similarly attention-reducing exercise while:

  • driving;
  • operating machinery;
  • swimming or bathing;
  • supervising a hazardous activity;
  • using equipment requiring attention; or
  • in another environment in which reduced attention could reasonably create a risk of harm.

You are responsible for participating from an environment reasonably safe for the activity.

  • advertising spend;
  • claims made in marketing;
  • funnels;
  • sales processes;
  • contracts;
  • hiring;
  • termination;
  • employees;
  • contractors;

  • partnerships;
  • debt;
  • financing;
  • investment;
  • expenses;
  • cash flow;
  • taxes;
  • accounting;
  • software;
  • technology;
  • cybersecurity;
  • intellectual property;
  • customer and client relationships;
  • data handling;

  • regulatory compliance; and
  • implementation of coaching recommendations.

Resourced Woman does not become legally or financially responsible for your business because you implemented a recommendation received through an Offering.

  • media exposure;
  • visibility;
  • employment;
  • business valuation;
  • cash flow;
  • return on investment;
  • recovery of your purchase price;
  • reduced working hours;
  • time savings;
  • lifestyle changes;
  • personal transformation;
  • emotional improvement; or
  • any other particular outcome.

Your purchase buys access to the education, coaching, Content, Program, workshop, Community, or other Offering described.

It does not purchase or guarantee a result.

Results depend on numerous factors outside our control, including your:

  • market;
  • business model;
  • offer;
  • pricing;
  • skills;
  • experience;
  • resources;
  • audience;
  • decisions;
  • implementation;
  • participation;
  • expenses;

Your displayed name, voice, image, chat messages, questions, or contributions may appear in participant-only recordings, transcripts, or summaries.

Where appropriate, you may keep your camera off unless visual participation is reasonably required for an expressly disclosed activity.

Private calls may also be recorded, transcribed, summarized, or processed with AI for legitimate purposes such as:

  • delivering the service;
  • creating coaching notes;
  • continuity of support;
  • quality assurance;
  • administration;
  • safety;
  • training;
  • legal compliance;
  • recordkeeping; and
  • dispute handling.

Our use of these materials is further governed by the Privacy & Cookie Policy.

Private recordings or identifiable private coaching material will not be turned into public marketing merely because they were recorded. Separate permission will ordinarily be obtained for public promotional use unless disclosure is otherwise authorized or required by law.

Participants may not independently record, reproduce, screenshot, publish, or distribute a call or another participant's contribution without permission.

Third-Party Platforms, Services, and Contributors

Resourced Woman may use third-party services including Kajabi, ThriveCart, payment processors, PayPal, Zoom or other video services, OpenAI or ChatGPT, Anthropic or Claude, email providers, Community software, analytics providers, cloud storage providers, e-signature services, social networks, and other technology providers.

These third parties operate under their own terms and privacy practices.

We do not control and cannot guarantee:

  • third-party uptime;
  • third-party platform policies;
  • platform features;
  • account restrictions imposed by the third party;
  • third-party security;
  • third-party pricing;
  • continued availability; or
  • third-party business conduct outside our reasonable control.

Guest speakers and contributors may express their own views.

Their participation does not mean Resourced Woman verifies or adopts every statement they make.

Privacy

Our collection, use, storage, processing, disclosure, retention, recording, AI processing, and handling of personal information are governed by the Resourced Woman Privacy & Cookie Policy.

We may use service providers located in Canada, the United States, and other jurisdictions.

Do not submit unnecessary sensitive personal information or third-party information through a Site, Community, form, call, message, or AI Service.

Where permitted by law, we may send:

  • purchase confirmations;
  • receipts;
  • Program information;
  • call reminders;
  • billing notices;
  • Account notices;
  • security communications;
  • service announcements;

  • promotional communications where appropriate consent or another lawful basis exists.

Marketing communications will include an unsubscribe method where required.

Unsubscribing from promotional email does not cancel a purchase, Payment Plan, Subscription, Account, or legal obligation.

Necessary transactional and service communications may continue after a marketing unsubscribe.

Prohibited Uses

You may not use a Site or Offering:

  • for an unlawful purpose;
  • to violate another person's rights;
  • to infringe intellectual property;
  • to scrape or harvest data;
  • to interfere with security;
  • to upload malware;
  • to gain unauthorized access;
  • to impersonate another person;
  • to resell unauthorized access;
  • to bypass a paywall;
  • to avoid legitimate payment obligations;
  • to manipulate payment systems;
  • to initiate fraudulent payment disputes;
  • to build a competing course, dataset, or AI system from protected Content;
  • to harass or harm another person;
  • to publish private participant information;
  • to unlawfully disclose confidential business information;
  • to conduct deceptive or unlawful business activity; or
  • otherwise materially interfere with Resourced Woman, its Offerings, participants, systems, or rights.

Suspension and Termination

We may suspend or terminate access where reasonably justified by:

  • non-payment;
  • Account sharing;
  • fraud;
  • security risk;
  • harassment;
  • threats;
  • unlawful conduct;
  • intellectual-property infringement;
  • serious confidentiality violations;
  • misuse of AI Services;
  • repeated disruption;
  • unsafe conduct;
  • material privacy violations; or
  • another material breach of these Terms.

Where reasonable, we may provide notice and an opportunity to correct the issue.

We may act immediately where reasonably necessary for safety, fraud prevention, privacy, legal compliance, platform security, protection of another participant, intellectual-property protection, or payment-dispute management.

Suspension or termination does not automatically eliminate lawfully incurred payment obligations or provisions intended to survive termination.

Where a participant is removed because of a material breach or misconduct, removal does not itself create a refund right, subject to applicable law and any applicable written guarantee.

Honest Reviews, Complaints, and Protected Disclosures

Nothing in these Terms prevents you from:

  • providing an honest review;
  • describing your own experience;
  • seeking professional or legal advice;
  • reporting suspected unlawful conduct;
  • contacting a regulator;
  • exercising a statutory right; or
  • participating in a legal proceeding.

You may not use a review, complaint, or disclosure as a basis to unlawfully:

  • disclose another participant's private information;
  • reproduce protected paid Content;
  • distribute private recordings;
  • disclose trade secrets belonging to another person;
  • make knowingly false statements; or
  • violate an otherwise lawful confidentiality obligation.

Personal Responsibility and Independent Verification

You are responsible for evaluating your own circumstances before applying Content, coaching, recommendations, strategies, exercises, AI output, or other information.

Where a decision could materially affect your health, psychological wellbeing, finances, legal rights, business, employees, clients, property, or another person, obtain appropriate independent advice and verify material information.

You remain responsible for your decisions even where you followed a suggestion, strategy, recommendation, example, participant experience, AI response, facilitator opinion, or coaching conversation.

Assumption of Risk

You acknowledge that entrepreneurship, coaching, personal development, group interaction, technology, AI use, business implementation, meditation, visualization, embodiment, emotional reflection, breath-focused practices, spiritual or intuitive practices, and other experiential activities may involve known and unknown risks.

Those risks may include, depending on the activity:

  • business loss;
  • financial loss;
  • lost opportunities;
  • emotional discomfort;
  • psychological distress;
  • interpersonal consequences;
  • professional consequences;
  • reputational consequences;
  • technology failures;
  • inaccurate AI output;
  • unexpected personal reactions; and
  • other consequences arising from independent implementation.

Participation is voluntary and self-directed.

To the maximum extent permitted by law, you knowingly accept responsibility for the ordinary and inherent risks arising from your voluntary participation, decisions, implementation, interpretation, business conduct, and use of the Content.

Nothing in this section excludes liability that applicable law does not permit the parties to exclude.

Disclaimer of Warranties

Subject to any right or warranty that cannot lawfully be excluded, the Sites, Offerings, Content, Programs, Digital Products, recordings, Communities, coaching support, Subscriptions, and AI Services are provided “as is” and “as available.”

To the maximum extent permitted by law, we disclaim express and implied representations, warranties, and conditions concerning:

  • accuracy;
  • completeness;
  • currency;
  • reliability;
  • merchantability;
  • fitness for a particular purpose;
  • non-infringement;
  • compatibility;
  • security;
  • uninterrupted availability;
  • error-free operation;
  • continued third-party platform operation;
  • suitability for your individual circumstances; and
  • business, financial, personal, emotional, or other results.

No informal, oral, Community, social-media, coaching, or support statement creates a contractual warranty unless it is expressly included in a written term governing the applicable Offering.

An expressly stated offer-specific guarantee is governed by its written terms and is not nullified by this general warranty disclaimer.

Limitation of Liability

To the maximum extent permitted by applicable law, New Earth Era Inc., Resourced Woman, and their current and former directors, officers, employees, coaches, mentors, facilitators, guest experts, contractors, subcontractors, support personnel, agents, representatives, affiliates, successors, and permitted assigns will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses or damages arising from or relating to the Sites, Content, Offerings, or these Terms.

This includes, to the maximum extent lawfully permitted, losses involving:

  • income;
  • revenue;
  • profit;
  • business opportunity;
  • clients;
  • customers;
  • leads;
  • contracts;
  • business interruption;
  • goodwill;
  • data;
  • investments;
  • advertising expenditure;
  • hiring or personnel decisions;
  • professional fees;
  • substitute services;
  • third-party conduct;
  • platform outages;
  • inaccurate AI output;
  • independent implementation of Content;
  • business decisions; or
  • interpretation or application of coaching or recommendations.

To the maximum extent permitted by applicable law, our total aggregate liability arising from or relating to a particular purchased Offering, transaction, or these Terms will not exceed the amount you actually paid to Resourced Woman for the Offering giving rise to the claim.

Nothing in this section limits or excludes liability where applicable law prohibits limitation or exclusion.

Release

To the maximum extent permitted by applicable law, you release and discharge New Earth Era Inc., Resourced Woman, and their directors, officers, employees, coaches, mentors, facilitators, guest experts, contractors, representatives, affiliates, successors, and permitted assigns from claims arising from your:

  • voluntary participation;
  • independent business decisions;
  • independent implementation;
  • personal choices;
  • use or misuse of Content;
  • participation in voluntary experiential practices;
  • reliance on third-party information;
  • use of AI output;
  • use of third-party platforms; or
  • business activity conducted independently of Resourced Woman.

To the maximum extent legally enforceable, this release includes claims based on ordinary negligence.

It does not apply to fraud, wilful misconduct, gross negligence where it cannot lawfully be excluded, or another liability that applicable law prohibits the parties from excluding or releasing.

Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless New Earth Era Inc., Resourced Woman, and their directors, officers, employees, coaches, contractors, representatives, affiliates, successors, and permitted assigns from third-party claims and related losses, liabilities, damages, judgments, penalties, and reasonable costs arising from:

  • your material breach of these Terms;
  • your unlawful conduct;
  • your infringement of another person's intellectual property;
  • your unauthorized use of Company Content or trademarks;
  • User Content that violates another person's rights;
  • your unauthorized disclosure of confidential or private information;
  • false or misleading claims you make about your business, Resourced Woman, or another person;
  • your independent business activities;
  • your client or customer activities;
  • your employment or contractor decisions; or
  • your violation of applicable law.

This indemnity does not require you to indemnify a protected party for that party's fraud, wilful misconduct, or liability that cannot lawfully be transferred.

Force Majeure

We are not liable for delay or failure caused by circumstances beyond our reasonable control, including:

  • natural disaster;
  • wildfire;
  • flood;
  • severe weather;
  • epidemic or public-health event;
  • war;
  • civil unrest;
  • government action;
  • labour disruption;
  • coach or facilitator illness or incapacity;
  • power failure;
  • telecommunications failure;
  • cyberattack;
  • Kajabi or other platform outage;
  • payment-network failure;
  • AI-provider outage;
  • blockchain disruption; or
  • material third-party service interruption.

Where reasonably possible, we may respond by rescheduling, substituting delivery, replacing a facilitator, migrating platforms, extending a deadline, providing a recording, or providing a reasonably equivalent service.

If a material purchased service becomes permanently unavailable, we will provide any remedy required by applicable law.

International Users

New Earth Era Inc. operates from British Columbia, Canada, but Resourced Woman Offerings may be accessed internationally.

Business, consumer, privacy, advertising, tax, professional, financial, employment, health, and other laws differ between jurisdictions.

You are responsible for complying with laws applicable to your own business, location, industry, and activities.

Nothing in these Terms removes a mandatory right or remedy that your applicable law does not permit the parties to exclude.

Governing Law and Forum

Subject to any mandatory protection, remedy, jurisdiction, or forum available under applicable law, these Terms are governed by the laws of British Columbia, Canada, and the federal laws of Canada applicable in British Columbia.

Where legally permitted, the parties submit to the courts of British Columbia.

Nothing in this section prevents a consumer or other person from using a forum, regulator, statutory procedure, or remedy that applicable law does not permit these Terms to exclude.

Informal Resolution and Voluntary Mediation

A person with a concern is encouraged to contact us in writing at [email protected] and allow a reasonable opportunity for good-faith informal resolution.

This does not limit a non-waivable right or deadline.

After a dispute arises, the parties may voluntarily agree in writing to mediation, arbitration, or another alternative dispute-resolution process.

These Terms do not impose mandatory pre-dispute arbitration or mediation, do not waive participation in a class proceeding, and do not restrict a legally available court, regulatory, consumer, or statutory remedy.

Changes to These Terms

We may update these Terms to reflect:

  • legal or regulatory changes;
  • new Offerings;
  • security requirements;
  • platform changes;
  • technology changes;
  • AI developments;
  • administrative improvements; or
  • reasonable changes in our business.

The effective or last-updated date will be revised when changes are published.

Changes may apply to future purchases and future use from their stated effective date.

For an existing purchase, we will not rely on a later update to retroactively impose a material adverse change to:

  • your fixed total purchase obligation;
  • an offer-specific guarantee already earned or purchased;
  • applicable refund rights;
  • essential purchased services;
  • or a non-waivable statutory right

except where the change is required by law or otherwise lawfully agreed.

We will provide direct notice, an opportunity to cancel, consent, or another procedure where applicable law requires it.

Assignment and Transfer

You may not transfer or assign your:

  • Account;
  • Program seat;
  • Payment Plan;
  • Subscription;
  • private-call entitlement;
  • licence to use Content; or
  • rights under these Terms

without our prior written consent, except where applicable law provides otherwise.

We may assign these Terms to a bona fide successor, purchaser, affiliate, or other entity as part of a merger, restructuring, reorganization, sale, or transfer of the business, subject to any notice or consent required by law.

No Employment, Partnership, Joint Venture, or Agency

Nothing in these Terms creates employment, partnership, joint venture, franchise, agency, fiduciary relationship, or authority to bind Resourced Woman or New Earth Era Inc.

A participant or customer operates independently and may not enter into an agreement, incur an obligation, make a representation, or hold themselves out as acting on behalf of Resourced Woman unless expressly authorized in writing.

Severability

If a provision of these Terms is found unlawful, invalid, or unenforceable, it will be limited or severed only to the minimum extent necessary.

The remaining provisions will continue in effect.

No Waiver

A delay or failure to enforce a provision does not waive the right to enforce it later.

A waiver must be express.

A waiver concerning one event does not automatically waive a later event.

Entire Agreement

These Terms and the documents incorporated under Section 3 form the entire agreement concerning the applicable Offering.

They replace prior or contemporaneous discussions, messages, proposals, or statements concerning the same subject, except for:

  • an express written amendment accepted by the Company;
  • an offer-specific written commitment incorporated into the purchase;
  • an expressly stated guarantee;
  • or a right that cannot lawfully be excluded.

No ambiguity will automatically be interpreted against a party merely because that party drafted the document.

Survival

Provisions concerning outstanding payment obligations, intellectual property, confidentiality, privacy and recordkeeping permissions, AI and dataset restrictions, disclaimers, personal responsibility, assumption of risk, release, limitation of liability, indemnification, governing law, dispute resolution, and any provision that by its nature should survive will remain effective after completion, cancellation, expiration, suspension, or termination.

Electronic Communications and Signatures

You consent to receive purchase confirmations, receipts, payment notices, Program communications, Account notices, security notices, legal notices, and contract records electronically using the contact information associated with your Account or purchase.

Electronic records, clickwrap acceptance, electronic signatures, electronic delivery, and electronic agreements have the legal effect provided by applicable law.

You are responsible for keeping your email address current and checking spam, junk, promotions, and filtered folders for communications relating to your purchase.

English Language

The English-language version of these Terms controls if a translation differs, except where applicable law requires otherwise.

Translations may be provided for convenience.
